Terms of Service

1. Agreement to Terms

By engaging the services of Asher and Wyatt Superior Home Inspections LLC, you agree to be bound by these Terms of Service. These terms apply to all clients, visitors, and others who access or use our services. If you disagree with any part of the terms, then you may not access the service.

2. Provision of Services

Asher and Wyatt Superior Home Inspections LLC agrees to provide digital marketing services as outlined in the client's specific Service Agreement or Statement of Work. Services will be performed with professional skill and care. Project timelines are estimates and may be subject to change due to unforeseen circumstances or delays in client feedback/approval.

3. Payment Terms

Payment for services is due as specified in the Service Agreement. Typically, services are billed on a monthly retainer basis, payable in advance. For one-time projects, a deposit may be required before work commences. Late payments may result in a suspension of services and/or incur late fees.

All advertising spend (e.g., for Google Ads, Facebook Ads) is the sole responsibility of the client and is paid directly to the respective advertising platform. Asher and Wyatt Superior Home Inspections LLC is not responsible for managing this ad spend budget beyond the scope of campaign optimization.

4. Client Obligations

The client agrees to provide Asher and Wyatt Superior Home Inspections LLC with timely access to all necessary materials, data, and personnel required to perform the services. This includes access to website backends, analytics accounts, and advertising platforms. The client is responsible for the legality and accuracy of all content, materials, and information provided to Asher and Wyatt Superior Home Inspections LLC.

5. Confidentiality

Both parties agree to keep all non-public information, including campaign strategies, performance data, and business operations, strictly confidential. This obligation of confidentiality shall survive the termination of any service agreement.

6. Intellectual Property

All pre-existing intellectual property belonging to each party will remain their own. The client will own the intellectual property rights to the final, client-approved deliverables produced by Asher and Wyatt Superior Home Inspections LLC. However, Asher and Wyatt Superior Home Inspections LLC retains the right to use general knowledge, skills, experience, and any non-proprietary materials for its business operations and in engagements with other clients.

7. Limitation of Liability

The liability of Asher and Wyatt Superior Home Inspections LLC for any claims arising out of the agreement, regardless of the form of action, shall be limited to the amount of fees paid by the client to Asher and Wyatt Superior Home Inspections LLC in the preceding three (3) months. Asher and Wyatt Superior Home Inspections LLC will not be liable for any indirect, special, incidental, consequential, or punitive damages, including loss of profits or business interruption.

8. Termination

Either party may terminate the Service Agreement with written notice, typically 30 days, as specified in the agreement. Upon termination, the client is responsible for all fees incurred up to the termination date. Asher and Wyatt Superior Home Inspections LLC will cooperate in the transition of all campaign assets and data back to the client.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Asher and Wyatt Superior Home Inspections LLC is registered, without regard to its conflict of law provisions.
